General Terms and Conditions (GTC) of Glove Tec GmbH for the B2B Portal

1. Scope

These GTC apply to all orders placed through all sales channels of Glove Tec GmbH, including the B2B portal.

The B2B portal is intended exclusively for entrepreneurs. Entrepreneurs within the meaning of these GTC and hereinafter referred to as the Customer are natural or legal persons or partnerships with legal capacity who, when entering into a legal transaction, act in the exercise of their commercial or independent professional activity.

2. Contracting Party, Conclusion of Contract

The purchase contract is concluded with Glove Tec GmbH.

The presentation of products in the B2B portal, catalogs, or technical drawings does not constitute a legally binding offer. Product deviations in quality, fit, and color are possible, provided they serve to improve product quality or are unavoidable due to production processes.

Obvious errors as well as typographical, printing, or calculation errors entitle Glove Tec GmbH to contest or withdraw from the contract.

2.1 Orders

Products can be placed in the shopping cart without obligation in the B2B portal, and entries can be reviewed and corrected before submitting the order.

By submitting the order, the Customer places a binding order and confirms, by actively selecting the corresponding checkbox, that they have read and accepted the currently valid GTC and the Privacy Policy of Glove Tec GmbH.

The automatic confirmation of receipt of the order does not constitute acceptance of the offer.

The contract is only concluded upon explicit order confirmation by Glove Tec GmbH.

Acceptance of orders is always subject to actual product availability. If inventory discrepancies, supply shortages, or other availability issues are discovered after the order confirmation has been sent, Glove Tec GmbH shall be entitled to modify or cancel orders in whole or in part. The Customer will be informed as quickly as possible and, where applicable, will receive an adjusted order confirmation. Claims for delivery of unavailable items, subsequent delivery, or damages are excluded.

Changes or cancellations by the Customer are generally excluded and require the express consent of Glove Tec GmbH. Likewise, multiple orders cannot subsequently be combined.

2.2 Resale and Recommended Retail Prices

The stated selling prices are non-binding recommended retail prices. Customers are free to determine their own resale prices.

3. Delivery Period and Delivery Conditions

3.1 Delivery Time and Force Majeure

Items in stock are generally delivered within 2–5 business days.

Unless a binding delivery date has been agreed, all delivery dates are non-binding.

In cases of force majeure or operational disruptions beyond our control that make delivery impossible (e.g., labor disputes, governmental orders), the delivery period shall be extended by the duration of the disruption.

Disruptions lasting more than five weeks without timely notification to the Customer entitle the Customer to withdraw from the contract. Claims for damages are excluded in such cases.

3.2 Delivery Addresses

Customers may store multiple delivery addresses in the B2B portal.

The Customer is responsible for selecting the correct delivery address before completing the order.

Glove Tec GmbH shall not be liable for delivery delays or misdeliveries resulting from incorrect or incomplete delivery addresses.

3.3 Unavailable Products / Reservation for Errors and Availability

Glove Tec GmbH reserves the right not to offer certain products or product categories in the B2B portal, particularly outlet products.

If one or more ordered items are no longer available at the time of the planned shipment, we are entitled to:

• remove the unavailable item(s) from the order; or

• cancel the entire order.

In either case, the Customer will be informed by email as quickly as possible.

The Customer shall have no claim to delivery of unavailable items, subsequent delivery, or damages in such cases.

4. Prices, Pricing Levels, and Price Changes

4.1 Pricing Information

All prices in the B2B portal are quoted net in CHF and are subject to the applicable statutory VAT.

4.2 Pricing Levels and Individual Conditions

Customers are assigned individual pricing levels by Glove Tec GmbH.

Assignment is made at the discretion of Glove Tec GmbH and may be adjusted based on annual turnover or internal pricing strategies.

Glove Tec GmbH reserves the right to change prices, purchase prices, selling prices, discounts, or other conditions unilaterally at any time.

The prices displayed at the time of ordering shall apply.

Customers have no right to subsequent adjustment or reimbursement for orders already completed.

4.3 Small Order Surcharge and Shipping Costs

Orders with a net merchandise value below CHF 250.00 are subject to a small order surcharge of CHF 13.87 net plus applicable statutory VAT, which is automatically added to the shopping cart.

Once a net merchandise value of CHF 250.00 is reached or exceeded, the small order surcharge is automatically waived and removed from the shopping cart.

Orders with a net order value of CHF 1000.00 or more qualify for free shipping. Below this amount, a flat shipping fee of CHF 11.10 net plus applicable statutory VAT will be charged.

4.4 Payment Terms

Invoices are payable within 30 days net from the invoice date without deduction.

4.5 Late Payment

After the payment deadline has expired, the Customer will receive a payment reminder with an additional payment period of 14 days.

If payment is not received within this period, a first reminder will be sent with a payment deadline of 10 days.

If payment is still outstanding, a second reminder will be sent with a payment deadline of 7 days.

Upon expiry of the second reminder period without payment, the Customer shall be in default.

Glove Tec GmbH is entitled to claim default interest in accordance with the statutory provisions of the Swiss Code of Obligations as well as any collection and administrative costs incurred.

During a payment default, Glove Tec GmbH is entitled to withhold further deliveries, cancel outstanding orders, or temporarily suspend customer accounts.

5. Campaigns, Promotions, and Special Prices

5.1 Target Group-Specific Promotions

Glove Tec GmbH reserves the right to conduct time-limited sales campaigns, discounts, or promotions specifically for certain sales channels, particularly end consumers (B2C).

Customers have no right to participate in such campaigns, discounts, or special prices unless these have been expressly approved in writing for B2B customers.

5.2 No Claims for Subsequent Adjustments

Price promotions in the end-consumer business do not entitle Customers to subsequent adjustments of purchase prices or discounts.

6. Returns and Exchanges

6.1 Returns and Exchanges

As a Customer, there is generally no right to exchange or return goods.

Exceptions apply exclusively in the case of justified complaints.

6.2 Exceptions for Defective Goods or Incorrect Deliveries

Exceptions only apply in cases of demonstrably defective goods or incorrect deliveries.

Defects must be reported in writing within 5 business days after receipt of the goods.

6.3 Return Procedure

Returns may only be made with prior written approval from Glove Tec GmbH.

6.4 Unauthorized or Unapproved Returns

Unauthorized or unapproved returns will be returned to the Customer at the Customer’s expense.

7. Retention of Title

Glove Tec GmbH retains ownership of the delivered goods until full payment of the purchase price has been received.

Documents such as photographs, drawings, calculations, or price lists remain the property of Glove Tec GmbH and may not be disclosed to third parties without written consent.

8. Disclosure of Purchase Prices and Violations of the GTC

8.1 Confidentiality of Purchase Prices

Granted purchase prices, discounts, and pricing levels are confidential and may not be disclosed to third parties.

8.2 Suspension or Deactivation in Case of Violations

Glove Tec GmbH reserves the right to suspend or deactivate customer accounts, particularly in cases of:

• violations of these GTC

• misuse of the B2B portal

• unauthorized disclosure of purchase prices

• resale in violation of statutory trademark rights or contractually agreed distribution guidelines

• payment default

9. Warranty and Complaints

9.1 Complaints for Direct Orders by Customers

Complaints must be submitted in writing within 5 business days after receipt of the goods.

Hidden defects must be reported in writing immediately after their discovery. Otherwise, the provisions of the Swiss Code of Obligations shall apply.

Customary deviations in quality, color, fit, or design as well as minor technical deviations do not give rise to warranty claims.

Defect-free replacement deliveries will be provided promptly if repair or replacement of the goods is not possible.

If a defect-free replacement cannot be provided within a reasonable period or if the relevant item is no longer available, the purchase price of the complained products will be refunded by agreement in the form of a credit note.

Returns or exchanges of defect-free goods are excluded.

9.2 Complaints by End Customers via Customers (B2B Resellers)

Complaints from end customers who purchased products from the Customer must be reported to Glove Tec GmbH through the Customer.

In the event of a complaint, the Customer must provide proof of the sales date and the corresponding proof of purchase in order to be entitled to a replacement delivery or credit note.

9.3 Returns

Returns may only be made with prior written approval from Glove Tec GmbH.

Unauthorized or unapproved returns will be returned to the Customer at the Customer’s expense.

10. Governing Law and Jurisdiction

All legal relationships between Glove Tec GmbH and the Customer shall be governed exclusively by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputes arising out of or in connection with the business relationship shall be Bern, Switzerland, to the extent permitted by law.

11. Data Protection

Information regarding the processing of personal data can be found in the separate Privacy Policy of Glove Tec GmbH.
